Nvidia pays Poolside $6B to license its model-building system and hire 109 engineers
Nvidia is paying $6 billion for a non-exclusive license to Poolside's Model Factory — the system behind its Laguna coding models — plus job offers to the 109 engineers who built it, and a separate $1 billion investment at a $12 billion pre-money valuation. The letter insists it is neither an acquisition nor an acquihire, which is the point: after Groq at $20 billion and Enfabrica at $900 million, Nvidia has a repeatable structure for absorbing technology and staff without triggering merger review, while its own Nemotron open models compete with the customers it buys from.

The deal is "not an acquisition and it is not an acquihire," the letter says.
Nvidia investor letter
Why this matters
- → Nvidia sidesteps merger review by licensing tech + hiring staff instead of acquiring
- → Repeatable pattern: Groq ($20B), Enfabrica ($900M), now Poolside ($6B)
- → Nemotron models compete with customers Nvidia buys from — vertical integration risk
